• License Key Functionality: Your unique license key is essential for receiving software updates from our secure servers. Failure to activate this key will restrict access to certain advanced functionalities designated as 'premium modules.' Upon termination or expiration of your ZOYEQ subscription, these premium modules will cease to operate.
• Subscription Terms and Updates: Each ZOYEQ product acquisition includes a 365-day period of comprehensive support and software updates, commencing from the date your order is formally completed. Access to download any purchased ZOYEQ products is contingent upon maintaining a valid and active license.
• Download Access and Renewal: Access to the designated downloads section within the ZOYEQ platform requires a current subscription. For continuous and uninterrupted access to vital updates and support services, each ZOYEQ product features an automatic renewal option, facilitated through recognized mobile banking services (e.g., bkash, Nagad) and the SSLCOMMERZ platform.

2. User Responsibilities and Prohibited Actions

• You shall not, without the explicit prior written consent of Qzency Ltd., engage in the copying, modification, distribution, sale, lease, sublicensing, or transfer of any part of the ZOYEQ software.
• Attempts to reverse engineer or extract the source code of ZOYEQ are strictly forbidden. Similarly, you shall not employ any methods to gain unauthorized access to the ZOYEQ platform or its associated systems.

3. Intellectual Property Rights

All intellectual property rights pertaining to ZOYEQ, including but not limited to copyright and trademark protections, are exclusively owned by and vested in ZOYEQ. Your use of the software does not grant you any ownership rights to ZOYEQ or its constituent elements.

4. Disclaimer of Assurances and Limitation of Liability

• ZOYEQ is provided "as is," and Qzency Ltd. makes no warranties or representations, express or implied, regarding its performance, suitability, or non-infringement.
• To the maximum extent permitted by applicable law, Qzency Ltd. shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in any way connected with your use or inability to use ZOYEQ.

5. Account Management and Termination

• Qzency Ltd. reserves the absolute right to suspend or terminate any user account without prior notification.
• Grounds for account suspension or termination may include, but are not limited to:

• Abusive or excessively negative behavior directed towards Qzency Ltd. staff or other ZOYEQ users.
• Repeated dissemination of defamatory, malicious, or false statements about ZOYEQ.
• Promotion of competing products or engagement in activities such as software piracy or unauthorized system access.
• Reasonable suspicion of account compromise or unauthorized sharing.

6. Data Handling and Privacy Commitment

Qzency Ltd. is committed to maintaining transparent and responsible data handling practices. We endeavor to provide clear and accessible information regarding the collection, storage, and utilization of user data. Protecting the privacy and security of user information is a fundamental principle at Qzency Ltd.

7. Data Retention and Account Status Following Service Interruption

• Post-Trial Period Data Retention: Upon the conclusion of the complimentary trial period for your ZOYEQ store, should you elect not to transition to a paid subscription plan, your store's data will be retained for an additional thirty (30) calendar days. Following this period, all data will be permanently deleted.
• Post-Subscription Expiration Data Retention and Store Disablement: In the event your paid ZOYEQ subscription expires without timely renewal, a 3-day grace period will be extended. Afterward, your store is disabled and data is retained for an additional 3 months before permanent deletion.

8. Content Responsibility and Intellectual Property

Users are solely responsible for all content uploaded or used within their ZOYEQ stores. Qzency Ltd. disclaims any liability for content claims. Users must possess necessary rights, licenses, and permissions for any content they provide or display.

9. Amendments to These Terms

Qzency Ltd. reserves the prerogative to modify these Terms at any time. Any such modifications will be effective immediately upon their publication on the official ZOYEQ website. Your continued use of ZOYEQ following the posting of updated Terms constitutes your acceptance of those revisions.

10. Entirety of the Agreement

These Terms constitute the complete and exclusive agreement between you and Qzency Ltd. concerning the use of the ZOYEQ software, superseding all prior or contemporaneous communications and understandings, whether oral or written.
